Affiliate Program Terms

1. Overview
These Affiliate Program Terms ("Affiliate Terms") govern your participation in The Felt's affiliate program (the "Program"), operated by The Felt LLC ("Company," "we," "us"). By enrolling, you ("Affiliate," "you") agree to these Affiliate Terms and to our Terms of Service and Privacy Policy. If you do not agree, do not enroll.
The Program is administered using Tolt.io, which tracks referrals, and Stripe, which processes the underlying subscriptions. Your use of Tolt is also subject to Tolt's terms.
2. Enrollment
To participate, you must register and be approved. You must be at least 18 and provide accurate information. We may approve or reject any application at our discretion, and we may require a valid payout method through our affiliate platform.
3. How the Program Works
When approved, you receive a unique referral link through Tolt. When a new customer clicks your link and subscribes to a paid plan within the applicable attribution window, you earn a commission.
Your specific commission rate, commission duration (for example, first payment only, a set number of months, or recurring), and attribution window are set individually for your account and are shown to you in your Tolt affiliate dashboard. Those dashboard terms are the controlling terms for your participation. We may set or adjust these terms on a per-affiliate basis, and different affiliates may receive different rates and windows. If a customer clicks more than one affiliate link, attribution is determined by the tracking configuration in Tolt.
A commission is earned only on a completed, paid subscription from a new customer who is not you and is not using the Service through your own account.
4. Payments
- Net revenue basis: Commissions are calculated on net amounts actually received by us, after refunds, chargebacks, discounts, processing fees, and taxes.
- Payout schedule and minimum: Payout frequency, any minimum payout threshold, and the clearing/hold period applied before commissions are released are administered through Tolt and shown in your affiliate dashboard. Commissions are not payable until they have cleared any applicable hold period intended to account for refunds and chargebacks.
- Reversals: If a referred customer refunds, charges back, or cancels before the related commission clears, that commission is reversed or deducted from your balance.
- Taxes: You are responsible for all taxes on your commissions. We may require appropriate tax documentation before issuing payment, a Form W-9 if you are a U.S. person or a Form W-8 (such as W-8BEN) if you are a non-U.S. person, and we may issue tax forms such as a 1099 where required. You are an independent contractor, not our employee, agent, or partner.
5. Promotion Rules
You may promote The Felt through your own honest content, website, social channels, and communities. You must not:
- Engage in spam, unsolicited bulk email, or messaging that violates anti-spam laws (including CAN-SPAM);
- Bid on, or use in paid search advertising, our trademarks, brand names, or close misspellings (for example "The Felt," "thefelt," "thefelt.app"), or run paid ads that impersonate us or direct to our site through your affiliate link;
- Use cookie stuffing, forced clicks, iframes, or any deceptive tracking method;
- Make false, misleading, or unsubstantiated claims about the Service, including any claim that it facilitates gambling or guarantees winnings;
- Self-refer, or create accounts to earn commissions on your own subscriptions;
- Use the Program in connection with illegal gambling promotion or any unlawful activity;
- Register domains or social handles that are confusingly similar to our brand;
- Misrepresent your relationship with us.
6. Required Disclosures (FTC)
You must clearly and conspicuously disclose your affiliate relationship with us wherever you promote The Felt, in compliance with the U.S. Federal Trade Commission's endorsement guidelines and any applicable local rules. A clear statement such as "I earn a commission if you subscribe through my link" placed near the link satisfies this in most cases. Failure to disclose is grounds for removal from the Program and forfeiture of unpaid commissions.
7. Trademarks and Brand Use
We grant you a limited, revocable, non-exclusive license to use our name and logos solely to promote the Service in accordance with any brand guidelines we provide. You may not modify our marks or use them in a way that implies endorsement beyond your participation in the Program. All goodwill from your use belongs to us.
8. Term and Termination
Either party may terminate participation at any time, for any reason, with notice. We may suspend or terminate your participation immediately for any violation of these Affiliate Terms. On termination, unpaid commissions that were validly earned and have cleared the hold period will be paid in the next cycle, except where terminated for fraud or violation, in which case unpaid commissions may be forfeited. Sections on payments owed, taxes, disclaimers, and limitation of liability survive.
9. Disclaimers and Limitation of Liability
The Program is provided "as is." We do not guarantee any minimum earnings, traffic, or conversions. To the maximum extent permitted by law, our total liability arising from the Program will not exceed the total commissions paid or payable to you in the three (3) months before the claim. We are not liable for indirect, incidental, or consequential damages.
10. Changes
We may modify these Affiliate Terms, commission rates, attribution windows, or payout terms at any time. Changes apply prospectively. Material changes will be communicated through the affiliate platform or by email, and your continued participation constitutes acceptance.
11. Governing Law
These Affiliate Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
Binding arbitration and class-action waiver. Consistent with our Terms of Service, any dispute, claim, or controversy arising out of or relating to these Affiliate Terms or the Program will be resolved by final and binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable commercial arbitration rules, before a single arbitrator, and may be conducted by videoconference or, if an in-person hearing is required, in Los Angeles County, California. You and The Felt LLC agree that each may bring claims only in an individual capacity and not as part of any class, collective, or representative proceeding, and the arbitrator may not consolidate claims or preside over any class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court while the remainder of this Section remains in effect.
